TERMS AND CONDITIONS OF MEMBERSHIP, PLATFORM USE, E-COMMERCE SERVICES, AND COMPENSATION PARTICIPATION
Effective Date: 20-06-2026 1. INTRODUCTION
These Terms and Conditions ("Terms") govern access to and use of the UNICESS platform, website, mobile applications, e-commerce services, membership programs, compensation programs, rewards, commissions, and all related services offered by UNICESS PRIVATE LIMITED ("UNICESS", "Company", "we", "our", or "us").
By registering, purchasing products, activating services, accessing the platform, participating in compensation programs, or using any Company services, the Member agrees to be legally bound by these Terms.
If a Member does not agree with these Terms, the Member must immediately discontinue use of the platform.
2. COMPANY RIGHTS
UNICESS reserves the absolute right, subject to applicable law, to:
Modify these Terms.
Modify compensation plans.
Modify commission structures.
Modify rewards and incentives.
Modify qualification requirements.
Modify Business Volume calculations.
Modify payout methods.
Introduce earning caps.
Suspend programs.
Discontinue programs.
Replace compensation models.
Restrict access to services.
Terminate memberships.
All updates become effective upon publication through official Company channels.
Continued participation constitutes acceptance of such changes.
3. ELIGIBILITY
To participate, a Member must:
Be at least 18 years of age.
Possess legal capacity to enter contracts.
Provide accurate information.
Comply with applicable laws.
Successfully complete Company verification requirements.
UNICESS may refuse membership applications without providing reasons.
4. ACCOUNT REGISTRATION
Members agree that:
All registration information is accurate.
False information is prohibited.
Multiple accounts are prohibited unless expressly approved.
Identity sharing is prohibited.
Accounts are personal and non-transferable.
Members are responsible for all activity conducted through their accounts.
5. KYC AND VERIFICATION
UNICESS may require:
Government-issued identification.
PAN verification.
Bank verification.
Address verification.
Additional compliance documentation.
Failure to provide requested documentation may result in:
Suspension.
Commission holds.
Withdrawal restrictions.
Account termination.
6. E-COMMERCE SERVICES
UNICESS may provide products, services, subscriptions, educational materials, software licenses, and other offerings.
Availability, pricing, descriptions, promotions, and specifications may change at any time.
UNICESS reserves the right to:
Cancel orders.
Limit quantities.
Refuse transactions.
Suspend products.
Correct pricing errors.
7. PRODUCT AVAILABILITY
Product availability is not guaranteed.
UNICESS shall not be liable for:
Stock shortages.
Shipping delays.
Supplier disruptions.
Product discontinuation.
8. MEMBER RESPONSIBILITIES
Members shall:
Conduct business ethically.
Avoid misleading representations.
Avoid unauthorized income claims.
Comply with Company policies.
Comply with applicable laws.
Members shall not represent themselves as employees, agents, partners, or legal representatives of UNICESS.
9. PROHIBITED ACTIVITIES
The following activities are strictly prohibited:
Fraud.
Identity theft.
Fake purchases.
Bonus manipulation.
Artificial volume creation.
Circular sponsorship.
Self-sponsorship.
Account farming.
Commission abuse.
Chargeback abuse.
Money laundering activities.
Misrepresentation of products.
Misrepresentation of earnings.
Regulatory violations.
Violations may result in immediate termination.
10. COMPENSATION PLAN PARTICIPATION
Participation in any compensation plan is voluntary.
Compensation may include:
Referral commissions.
Binary commissions.
Matching bonuses.
Rank rewards.
Promotional incentives.
Recognition programs.
No compensation component is guaranteed.
11. NO GUARANTEED INCOME
UNICESS does not guarantee:
Earnings.
Profits.
Success.
Team growth.
Customer acquisition.
Financial results.
Income depends on:
Individual effort.
Product sales.
Customer demand.
Market conditions.
Team performance.
Compliance status.
Past earnings do not guarantee future results.
12. COMMISSION APPROVAL
All commissions, rewards, bonuses, wallet credits, and incentives remain provisional until approved.
UNICESS reserves the right to:
Validate transactions.
Conduct audits.
Recalculate earnings.
Correct errors.
Reverse credits.
Hold payouts.
No dashboard balance creates a vested right to payment.
13. BUSINESS VOLUME (BV)
Business Volume is a Company-created accounting metric.
BV:
Has no cash value.
Is not property.
Is not transferable.
Is not redeemable.
Is not owned by Members.
UNICESS may modify, expire, reduce, suspend, reset, or remove BV according to Company rules.
14. COMMISSION HOLDS
UNICESS may temporarily or permanently hold commissions due to:
Compliance reviews.
Fraud investigations.
Refund reviews.
Chargeback reviews.
KYC reviews.
Tax reviews.
Regulatory inquiries.
System audits.
No interest shall accrue on held funds.
15. REFUNDS, REVERSALS AND RECOVERY
If any qualifying transaction is:
Refunded.
Reversed.
Cancelled.
Charged back.
Found fraudulent.
UNICESS may recover associated commissions from:
Wallet balances.
Future earnings.
Pending payouts.
Incentives.
Rewards.
Negative balances may be created where necessary.
16. WALLET TERMS
The UNICESS Wallet is an internal accounting mechanism.
Wallet balances:
Are not bank deposits.
Are not securities.
Are not financial instruments.
Do not earn interest.
UNICESS may freeze, adjust, reverse, or correct wallet balances.
17. EARNING LIMITS
UNICESS may establish:
Daily limits.
Weekly limits.
Monthly limits.
Annual limits.
Lifetime earning reviews.
Such limits may apply regardless of network performance.
18. ACCOUNT SUSPENSION
UNICESS may suspend accounts where:
Fraud is suspected.
Compliance review is pending.
Regulatory concerns exist.
KYC is incomplete.
Security concerns arise.
During suspension:
Withdrawals may be blocked.
Commissions may be frozen.
Bonuses may be withheld.
19. ACCOUNT TERMINATION
UNICESS may terminate membership for:
Policy violations.
Fraud.
Compliance concerns.
Regulatory concerns.
Reputational risk.
Business integrity concerns.
Termination may result in forfeiture of unpaid commissions.
20. AUDIT RIGHTS
UNICESS may audit:
Purchases.
Referrals.
Transactions.
Network structures.
Device usage.
IP activity.
Earnings.
Verification records.
Members must cooperate with audits.
Failure to cooperate may result in suspension or termination.
21. INTELLECTUAL PROPERTY
All trademarks, logos, content, software, materials, and intellectual property remain the exclusive property of UNICESS PRIVATE LIMITED.
Unauthorized use is prohibited.
22. DATA PRIVACY
UNICESS may collect, process, store, and use information for:
Account management.
Compliance.
Fraud prevention.
Service delivery.
Business operations.
Members consent to such processing subject to applicable law.
23. REGULATORY COMPLIANCE
Members agree to comply with:
Applicable Indian laws.
Consumer protection requirements.
E-commerce regulations.
Tax laws.
Advertising standards.
Direct selling regulations.
Failure to comply may result in termination.
24. NO INVESTMENT PROGRAM
UNICESS is not:
An investment scheme.
A deposit scheme.
A collective investment arrangement.
A guaranteed-return program.
Compensation is linked to eligible business activity and Company rules.
25. SYSTEM ERRORS
UNICESS reserves the right to correct:
Pricing errors.
Commission errors.
Settlement errors.
Reward errors.
Accounting errors.
Corrections may be applied regardless of when discovered.
26. FORCE MAJEURE
UNICESS shall not be liable for delays or failures resulting from:
Natural disasters.
Government actions.
Regulatory changes.
Cyberattacks.
Internet failures.
Power failures.
War.
Civil unrest.
Technical disruptions.
27. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, UNICESS shall not be liable for:
Lost profits.
Lost opportunities.
Indirect damages.
Consequential damages.
Special damages.
Punitive damages.
Any liability shall be limited to amounts actually paid by the Member to the Company during the preceding twelve months, except where prohibited by law.
28. INDEMNIFICATION
Members agree to indemnify and hold harmless UNICESS, its directors, officers, employees, affiliates, contractors, and representatives from claims arising from:
Policy violations.
Fraudulent activity.
Misrepresentations.
Regulatory violations.
Unlawful conduct.
29. DISPUTE RESOLUTION
Members agree that disputes shall first be submitted to internal review procedures established by UNICESS.
If unresolved, disputes shall be resolved through arbitration in accordance with applicable Indian law.
The arbitration decision shall be final and binding.
30. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of India.
31. SEVERABILITY
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
32. SURVIVAL
The following provisions shall survive termination:
Audit rights.
Recovery rights.
Indemnification obligations.
Intellectual property protections.
Dispute resolution provisions.
Limitation of liability provisions.
33. ENTIRE AGREEMENT
These Terms, together with Company policies, compensation plans, compliance rules, privacy policies, refund policies, and published procedures, constitute the entire agreement between the Member and UNICESS.
34. MEMBER ACKNOWLEDGEMENT
By registering, purchasing products, activating services, receiving commissions, participating in rewards programs, or using any UNICESS platform, the Member acknowledges that:
They have read and understood these Terms.
They agree to comply with Company policies.
They understand compensation is not guaranteed.
They accept Company audit and compliance procedures.
They understand commissions may be adjusted or reversed.
They agree to dispute resolution procedures.
They consent to future policy modifications as permitted by applicable law.
The Member voluntarily agrees to be legally bound by these Terms and Conditions.
