UNICESS PRIVATE LIMITED – EARNINGS POLICY By registering, purchasing products, activating services, participating in the compensation plan, receiving commissions, earning rewards, or using any service offered by UNICESS PRIVATE LIMITED ("UNICESS"), every member acknowledges and agrees that all earnings, commissions, bonuses, incentives, rewards, wallet credits, rank achievements, recognition benefits, and other compensation-related payments are governed by this Earnings Policy, the Compensation Plan, the Terms and Conditions, and all other company policies published from time to time. Participation in the UNICESS platform is voluntary and does not guarantee any level of income, profit, commission, reward, or financial success. Earnings depend entirely on individual effort, customer activity, product sales, team performance, market conditions, qualification status, compliance with company policies, and other factors beyond the control of UNICESS. Past earnings achieved by any member do not guarantee future earnings, and most participants may earn little or no income. All commissions, bonuses, rewards, incentives, wallet credits, rank rewards, matching bonuses, binary income, referral income, promotional earnings, and other compensation displayed within the member dashboard are provisional estimates only and remain subject to review, validation, verification, adjustment, correction, approval, suspension, or reversal by UNICESS. No amount displayed in any dashboard, report, statement, wallet, notification, or commission ledger shall constitute a vested right, legal entitlement, debt obligation, or guaranteed payment until such amount has been fully reviewed, approved, processed, and released by the Company. UNICESS reserves the right to recalculate earnings, correct system-generated errors, adjust compensation records, reverse improperly awarded commissions, hold payouts for investigation, and make any corrections deemed necessary to ensure the integrity and sustainability of the compensation system. UNICESS reserves the right to review, verify, audit, investigate, suspend, reject, modify, or reverse any earnings arising from transactions, referrals, team activity, qualifications, promotions, incentives, rewards, rank advancements, or any other compensation-generating event. The Company may conduct compliance reviews, fraud investigations, refund audits, chargeback reviews, identity verification checks, tax verification procedures, regulatory compliance reviews, and other investigative processes at any time. During such reviews, earnings may be frozen, held, suspended, adjusted, or withheld until the Company determines that all applicable requirements have been satisfied. No interest shall accrue on held amounts, and members shall not be entitled to compensation arising from delayed reviews or investigations. If any transaction that generated commissions, bonuses, rewards, incentives, Business Volume (BV), qualification volume, or any other form of compensation is later refunded, cancelled, reversed, disputed, charged back, determined to be fraudulent, or found to violate Company policies, UNICESS reserves the unrestricted right, subject to applicable law, to recover all associated earnings. Such recovery may occur through deductions from wallet balances, pending withdrawals, future commissions, rewards, bonuses, incentives, rank earnings, or any other compensation payable to the member. Members expressly authorize the Company to create and maintain negative wallet balances where necessary to recover overpayments, improperly awarded commissions, fraudulent earnings, chargeback-related losses, administrative adjustments, or compliance-related corrections. Business Volume (BV), qualification volume, binary volume, carry-forward volume, reward volume, and all other performance metrics used by UNICESS are internal accounting measurements created solely for compensation and qualification purposes. Such metrics have no cash value, are not property, are not transferable, are not redeemable, are not owned by members, and do not represent any form of financial asset, security, deposit, investment, or legal entitlement. UNICESS reserves the right to modify, recalculate, expire, reduce, reset, suspend, remove, or otherwise adjust any volume calculation, qualification metric, or compensation factor at any time in accordance with Company policies and applicable law. UNICESS may establish, modify, increase, decrease, suspend, or remove daily, weekly, monthly, annual, campaign-based, promotional, or lifetime earning limits, payout caps, qualification thresholds, bonus restrictions, settlement limitations, and compensation controls in order to maintain operational sustainability, regulatory compliance, financial stability, fraud prevention, compensation fairness, or other legitimate business objectives. Members acknowledge that earnings may be limited regardless of actual team performance, network size, customer activity, or compensation calculations. All rewards, incentives, recognition programs, leadership bonuses, rank awards, travel incentives, vehicle programs, promotional campaigns, and special benefits offered by UNICESS remain conditional until officially approved, issued, delivered, and released by the Company. Qualification for any reward or incentive does not create a vested right or guarantee of receipt. UNICESS reserves the right to modify, suspend, cancel, replace, postpone, revoke, or withdraw any reward program, incentive campaign, recognition benefit, or promotional offer at any time in accordance with Company requirements and applicable law. The UNICESS Wallet is an internal accounting and administrative mechanism maintained solely for operational convenience and compensation tracking. Wallet balances do not constitute bank deposits, stored-value accounts, financial instruments, securities, investment products, trust accounts, or customer funds. Wallet balances may be adjusted, corrected, frozen, restricted, suspended, reversed, reduced, or recovered where necessary to address fraud prevention, compliance reviews, administrative corrections, system errors, refund activity, chargeback activity, legal requirements, or regulatory obligations. Members are solely responsible for all taxes, duties, fees, regulatory filings, disclosures, reporting obligations, income tax liabilities, GST liabilities, and other legal responsibilities arising from earnings received through the UNICESS platform. The Company may withhold, deduct, collect, or report taxes where required by applicable law, but the ultimate responsibility for compliance remains with the member. UNICESS strictly prohibits multiple accounts, self-sponsorship, circular sponsorship, artificial volume generation, fake transactions, commission manipulation, qualification abuse, account farming, payment fraud, identity fraud, collusive behavior, deceptive practices, regulatory violations, or any attempt to manipulate the compensation plan. Any earnings arising directly or indirectly from prohibited activities may be immediately forfeited, reversed, recovered, suspended, or permanently cancelled. The Company reserves the right to suspend or terminate any account involved in suspected or actual violations and may withhold all related earnings pending investigation. UNICESS reserves the right to audit member accounts, purchases, referrals, transactions, network structures, compensation records, device activity, IP activity, qualification status, KYC documentation, payment sources, withdrawal requests, and all other relevant business activity at any time. Members agree to provide requested documentation promptly and acknowledge that failure to cooperate with an audit, investigation, compliance review, or verification process may result in suspension, termination, forfeiture of earnings, withholding of commissions, or other corrective actions deemed appropriate by the Company. UNICESS reserves the right to correct any pricing error, commission error, reward error, wallet error, qualification error, settlement error, accounting discrepancy, system malfunction, technical failure, software defect, data inconsistency, administrative oversight, or operational mistake regardless of when such issue is discovered. Members acknowledge that system-generated information may occasionally contain errors and agree that the Company may implement corrective actions whenever necessary to maintain accuracy and integrity. UNICESS may suspend or terminate member accounts where fraud is suspected, compliance reviews are pending, KYC requirements remain incomplete, regulatory concerns arise, legal requests are received, system abuse is detected, reputational risks exist, or continued participation is deemed inconsistent with Company interests, business integrity, operational sustainability, compliance obligations, or applicable law. During suspension or termination, commissions, bonuses, rewards, incentives, withdrawals, wallet access, rank qualifications, recognition benefits, and all other forms of compensation may be frozen, withheld, cancelled, reduced, adjusted, or forfeited. UNICESS reserves the right to amend, modify, suspend, replace, revise, restructure, or terminate any aspect of this Earnings Policy, the Compensation Plan, qualification criteria, payout percentages, earning limits, bonus structures, reward programs, commission calculations, Business Volume formulas, settlement schedules, compensation controls, or compensation-related procedures at any time. Such changes shall become effective upon publication through official Company channels, and continued participation in the platform shall constitute acceptance of all such modifications. UNICESS is not an investment program, deposit-taking scheme, passive income opportunity, collective investment arrangement, guaranteed-return program, security, or financial institution. Compensation is derived solely from eligible business activities conducted in accordance with Company rules and applicable laws. No statement, representation, marketing material, testimonial, or promotional content shall be interpreted as a guarantee of income, profits, financial success, or business results. To the maximum extent permitted by applicable law, UNICESS shall not be liable for lost profits, lost opportunities, indirect damages, consequential damages, special damages, punitive damages, compensation disputes, delayed payouts, technical failures, system interruptions, regulatory actions, network performance losses, or any other loss arising from participation in the platform. Any dispute relating to earnings shall first be submitted to the Company's internal review process and, if unresolved, shall be handled in accordance with applicable Indian laws and dispute resolution procedures established by the Company. By registering, purchasing products, activating services, receiving commissions, participating in rewards, using the UNICESS platform, or continuing participation after publication of this policy, every member confirms that they have read, understood, accepted, and agreed to be legally bound by this Earnings Policy and all related Company policies, procedures, compensation rules, compliance requirements, and future amendments.
