UNICESS PRIVATE LIMITED – DIRECT SELLING COMPLIANCE POLICY UNICESS PRIVATE LIMITED ("UNICESS", "Company", "we", "our", or "us") is committed to conducting its business in a lawful, ethical, transparent, and consumer-focused manner. This Direct Selling Compliance Policy establishes the standards, obligations, restrictions, and compliance requirements applicable to all customers, members, distributors, affiliates, referral partners, team leaders, and participants involved in the UNICESS platform. This Policy is intended to support compliance with applicable Indian laws, consumer protection requirements, e-commerce regulations, advertising standards, taxation obligations, and direct selling requirements, including principles reflected in the Consumer Protection (Direct Selling) Rules, 2021 and other applicable laws and regulations. Participation in the UNICESS platform constitutes acceptance of and agreement to comply with this Policy. UNICESS operates as a product and service-based business platform. The Company's business model is intended to promote the sale and distribution of legitimate products and services to genuine customers. Participation in the compensation plan is ancillary to the sale and promotion of products and services and shall not be considered the primary purpose of participation. Members acknowledge that compensation opportunities are based upon eligible business activities conducted in accordance with Company policies and not solely upon the recruitment of participants. UNICESS does not operate, promote, or represent itself as a pyramid scheme, money circulation scheme, deposit-taking arrangement, investment opportunity, securities offering, collective investment arrangement, passive income program, guaranteed-return program, or financial institution. No member shall represent the Company as any of the foregoing. Compensation opportunities offered through the platform are intended to reward qualifying business activities and product-related transactions subject to Company policies, qualification requirements, compliance standards, and applicable laws. Members shall conduct all business activities honestly, ethically, professionally, and in compliance with applicable laws. Members must accurately represent products, services, pricing, compensation opportunities, earnings potential, refund rights, Company policies, and business practices. Misleading statements, deceptive conduct, fraudulent practices, false advertising, exaggerated claims, income misrepresentations, deceptive testimonials, unauthorized medical claims, unauthorized health claims, misleading product representations, or any other conduct likely to mislead consumers are strictly prohibited. Members shall not make any claim that products, services, programs, technologies, software, devices, educational materials, or other offerings of UNICESS can diagnose, treat, cure, prevent, mitigate, or eliminate any disease, medical condition, health condition, or physical ailment unless such claims have been specifically approved by the Company in writing and are supported by applicable legal and regulatory requirements. Any health, medical, scientific, technical, financial, or performance-related claims must be accurate, substantiated, lawful, and authorized by the Company. Members shall not make income representations that create unrealistic expectations regarding earnings potential. Prohibited statements include, but are not limited to, claims suggesting guaranteed income, guaranteed profits, fixed returns, passive income without effort, automatic earnings, financial freedom guarantees, assured wealth creation, risk-free income, investment returns, lifestyle guarantees, replacement of employment income, or any similar representation. Members must clearly communicate that earnings are not guaranteed and depend upon individual effort, customer activity, product sales, market conditions, compliance status, and other relevant factors. All marketing, advertising, promotional activities, social media content, websites, presentations, webinars, seminars, training materials, printed materials, videos, images, testimonials, and communications related to UNICESS must be truthful, accurate, professional, lawful, and consistent with official Company policies. Members shall not create unauthorized marketing materials that misrepresent the Company, its products, its compensation plan, its leadership, its financial condition, its legal status, or its business opportunities. Members are prohibited from engaging in deceptive recruitment practices. No individual may be pressured, coerced, misled, intimidated, manipulated, or induced to join the platform through false promises, misleading earnings claims, hidden costs, exaggerated success stories, emotional exploitation, deceptive presentations, or other unfair practices. All prospective participants must be provided with a reasonable opportunity to review official Company documents, policies, compensation information, and business disclosures before making participation decisions. UNICESS strictly prohibits inventory loading, forced purchases, excessive product purchases, artificial sales activity, bonus buying, qualification manipulation, volume manipulation, circular transactions, fake purchases, self-consumption schemes designed solely to generate compensation, account farming, multiple account ownership, self-sponsorship, collusive behavior, or any activity intended to manipulate compensation calculations, qualifications, rankings, rewards, or business metrics. The Company reserves the right to investigate, reverse, adjust, suspend, or terminate any account involved in such activities. Members shall comply with all Company refund, return, cancellation, and customer service policies. Customers must be informed of applicable refund rights, return procedures, support channels, and complaint resolution processes. Members may not discourage customers from exercising legitimate refund rights or interfere with Company complaint resolution procedures. Any attempt to obstruct refunds, conceal policies, misrepresent consumer rights, or engage in unfair customer treatment may result in disciplinary action. Members are responsible for complying with all applicable tax obligations, including income tax requirements, GST obligations, registration requirements, reporting obligations, invoicing requirements, and other financial responsibilities arising from their business activities. UNICESS may require tax-related documentation and may report information to governmental authorities where required by law. Members remain solely responsible for obtaining independent tax advice and ensuring compliance with applicable tax regulations. To maintain platform integrity and legal compliance, UNICESS may require identity verification, KYC verification, address verification, bank verification, payment verification, document submission, compliance reviews, audits, transaction reviews, and other verification procedures. Members agree to cooperate fully with such requirements and acknowledge that failure to do so may result in account restrictions, commission holds, suspension, termination, or other corrective measures. UNICESS reserves the right to monitor member activity, review marketing practices, audit transactions, investigate complaints, verify customer relationships, review earnings claims, inspect promotional materials, evaluate business conduct, and take corrective action where necessary to ensure compliance with Company policies and applicable laws. Members shall provide requested records, documentation, communications, marketing materials, transaction evidence, customer records, and other information reasonably requested by the Company during compliance reviews or investigations. The Company may suspend, restrict, or terminate any member account where it determines, in good faith, that continued participation presents compliance risks, legal risks, regulatory concerns, reputational risks, consumer protection concerns, operational risks, fraud concerns, or business integrity concerns. During investigations or compliance reviews, commissions, bonuses, rewards, wallet balances, withdrawals, rank qualifications, and other compensation-related benefits may be temporarily withheld, adjusted, frozen, or restricted pending final review. Members acknowledge that all commissions, bonuses, rewards, incentives, and compensation-related payments remain subject to Company approval, audit rights, compliance reviews, qualification requirements, refund recovery provisions, chargeback recovery provisions, adjustment rights, and other Company policies. Participation in the compensation plan does not create any vested right to future earnings, rank advancement, incentives, rewards, or compensation benefits. UNICESS encourages ethical conduct, responsible marketing, customer-first business practices, transparent communication, lawful promotion, fair competition, and respect for consumer rights. Members are expected to maintain high standards of professionalism and integrity in all interactions with customers, prospects, team members, regulators, Company representatives, and the general public. The Company reserves the right to modify, amend, replace, suspend, update, interpret, clarify, or revise this Direct Selling Compliance Policy at any time in order to reflect legal developments, regulatory requirements, operational needs, business practices, compliance objectives, or consumer protection standards. Such modifications shall become effective upon publication through official Company communication channels. Continued participation in the platform constitutes acceptance of any revised policy. Nothing in this Policy shall be interpreted as limiting any rights, obligations, remedies, protections, or requirements established under applicable law. Where applicable law imposes obligations that cannot be waived, such legal requirements shall prevail to the extent required. Any provision determined to be invalid or unenforceable shall be interpreted and applied to the maximum extent permitted by law while preserving the intent and purpose of this Policy. By registering, purchasing products, activating services, participating in compensation programs, marketing Company offerings, referring customers, building teams, receiving commissions, or otherwise engaging in business activities through the UNICESS platform, every participant acknowledges that they have read, understood, and agreed to comply with this Direct Selling Compliance Policy and all related Company policies, procedures, compliance standards, legal requirements, and future amendments.
